Use of the Hands Up application does not create an attorney-client relationship between you and Hands Up Technologies Inc.. C. Eligibility and User Conduct
You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account. By using the service you agree to comply with all applicable federal, state, and local laws, including recording and consent laws that vary by state. You are solely responsible for understanding and complying with the recording laws of the jurisdiction in which you operate the application.

You retain ownership of recordings you create and upload. By using the service, you grant Hands Up Technologies Inc. a limited license to store, transmit, and process your content solely to provide the service. We do not claim any ownership of your recordings, and we do not use them for advertising or sell them to third parties.
F. SMS Messaging — Promotional Marketing Only
We may send promotional SMS messages to users who have opted in to receive them. By providing your phone number and opting in, you agree to receive recurring messages about updates, offers, and relevant information from us. Message and data rates may apply, and message frequency varies.
Our SMS program supports the following carriers: AT&T, T-Mobile, Metro PCS, Verizon Wireless, US Cellular, Google Voice, Cellular One, Cellcom, Cellular South, Interop, Clearsky.
Carriers are not liable for undelivered or delayed messages.
G. Intellectual Property
The Hands Up brand, application code, user interface, copy, and visual identity are owned by Hands Up Technologies Inc.. All rights are reserved. You may not copy, modify, distribute, sell, lease, or reverse-engineer any portion of our software or website without our prior written consent.
H. Disclaimer of Warranties
The service is provided on an "as is" and "as available" basis. We do not warrant that the application will always function without delay or interruption, that recordings will be preserved against all forms of loss or device failure, or that the service will meet every user need. Hands Up Technologies Inc. disclaims all implied warranties to the maximum extent permitted by law.
I. Limitation of Liability
To the maximum extent permitted by applicable law, Hands Up Technologies Inc. will not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of, or inability to use, the service. This includes, without limitation, damages arising from loss of recordings, device malfunction, denial of access, or reliance on the application during a high-stakes interaction.
J. Indemnification
You agree to indemnify and hold Hands Up Technologies Inc. and its officers, employees, and contractors harmless from any claims, damages, or expenses arising out of your misuse of the service or your violation of these Terms.
K. Governing Law and Arbitration
These Terms are governed by the laws of the State of Tennessee. Any dispute arising under these Terms will be resolved through binding arbitration administered in Williamson County, Tennessee.
